LogicManager Fair & Reasonable Use Policy

Unless otherwise defined herein, capitalized terms in this Fair & Reasonable Use Policy shall have the meanings ascribed to them in the Master Subscription Agreement (MSA) executed between the Parties. For clarity, the definitions, rights, and obligations set forth in the MSA are hereby incorporated by reference into this Fair & Reasonable Use Policy.

1. Overview

LogicManager is committed to delivering high-performance risk management solutions while ensuring fairness, system integrity, and service quality for all customers. Our Fair & Reasonable Use Policy (FRUP) is designed to align with typical usage patterns based on organizational size and industry needs.

To maintain optimal system performance and avoid unintended service disruptions, this Fair & Reasonable Use Policy outlines expected usage parameters for key platform components, including Actions, Risk Ripple, and Data Visualizations and Report Run Volume based on the Service Access Plan selected on a Customer’s Order Form. Note – if a Service Access Plan is not specified, the Customer is on the Standard Service Access Plan by default.

This policy ensures:

  • Predictability in system performance by defining expected platform usage based on observed customer cohorts rather than rigid technical constraints.
  • Scalability that allows organizations to grow within their designated service level.
  • Flexibility to accommodate workflow variations while ensuring responsible usage.

2. Service Access Plan & Scalable Usage

Customers on each Service Access Plan have access to scalable, flexible usage thresholds designed to meet their business needs.

Standard Designed for organizations with structured governance needs and predefined workflows.
Advanced Enabled for integrating key systems and automating governance processes without continuous event-driven monitoring automation.
Custom Tailored for organizations requiring high-frequency or high-volume automation, IoT data processing, highly scalable workflows, API integrations, or managing highly specialized data restrictions.

3. Monitoring & Enforcement of Fair Usage

LogicManager actively monitors system usage to ensure all customers receive consistent service quality. 

If a Customer exceeds their expected cohort range in Actions, Risk Ripple and/or Data Visualizations, LogicManager will always provide  them with an opportunity to review and optimize their usage before requiring an upgrade. However, in cases where excessive usage may impact system performance, the following steps will be taken:

  • Advisory Notification – Customers exceeding their expected cohort range in thresholds for three consecutive months will receive a notification of their usage and a recommendation to optimize their workflow or consider upgrading.
  • Consultation & Optimization Support – Our team will work with customers to identify low-value Risk Ripples, unnecessary reports, or inefficient workflows to streamline usage.
  • Transition to a Higher Plan – If usage continues beyond fair & reasonable expectations, customers must transition to a higher-tier plan in accordance with the Fair & Reasonable Use Policy and licensing terms.
